For foreign investors considering investing in Korea, a Korean limited liability company (LLC) can be an attractive corporate structure. In this article, we will discuss the advantages of a limited liability company from the perspective of a foreign investor, the documents required for foreign investment, and a successful establishment case based on our extensive experience at Hwaum Law Firm.

Advantages of a Limited Liability Company
From the perspective of a foreign investor, establishing a limited liability company in Korea offers several advantages.
Limited Liability
Members of a limited liability company are generally liable only up to the amount of their respective contributions, making it easier to manage investment risks.
Flexible Internal Rules
Unlike a stock company, a limited liability company allows its members to establish various rights and obligations among themselves through the company's articles of incorporation, including arrangements regarding the allocation of profits. This provides greater flexibility in structuring the company according to agreements between investors and local partners.
Simpler Management
Unlike a stock company, a limited liability company is generally not subject to external audit or business report disclosure requirements, allowing the company to be operated with relatively less administrative burden.
Additional Documents Required for Foreign Investment
When a foreign investor establishes a limited liability company in Korea or invests in an existing Korean company, several additional documents may be required. The principal documents include the following:
- Investor identification documents: A copy of the investor's passport or equivalent identification document
- Proof of the investor's address
- Documents evidencing the remittance of foreign currency into Korea
The documents required may vary depending on whether the investor has a domestic place of residence, whether the investor is registered as a foreign resident in Korea, and the specific circumstances of the company. Procedures such as foreign investment notification or securities acquisition notification may also need to be completed in advance.
In particular, notarization and apostille requirements vary by country, and processing times may also differ. It is therefore important to prepare the necessary documents carefully and well in advance.
Successful Cases of Establishing a Limited Liability Company in Korea
We would like to introduce two recent successful cases in which our firm assisted foreign investors in establishing limited liability companies in Korea.
Both clients had already established businesses overseas and wished to expand their operations into Korea through corporate investments.
One client chose to establish a limited liability company from the outset. The other initially proceeded with establishing a stock company but decided during the process to change the corporate structure to a limited liability company.
1. Establishment of a New Limited Liability Company
2. Change from a Stock Company to a Limited Liability Company During the Establishment Process

Although the documents required to establish a limited liability company differ somewhat from those required for a stock company, our team responded promptly and flexibly to the circumstances and coordinated the process so that the clients did not have to prepare and send additional documents from overseas. Both clients were highly satisfied with the result of their request.
